On September 12, 2010, PlazAmericas (formerly Sharpstown Mall) will host its first annual Community Expo & Voter Registration event to promote community services and encourage civic involvement.

PlazAmericas is in the midst of a revitalization project that will restore the property and make it, once again, a relevant and valuable gathering place. An important component of this plan is to make the property a vibrant, family]oriented destination that is in touch with the needs of the community it
serves. As part of this approach, PlazAmericas is planning many new features and attractions, and will maintain an active calendar of community]oriented events.

PlazAmericas is concerned about the level of civic involvement and community participation in Southwest Houston and within Houstonfs underserved and underrepresented populations. We
consider civic education, access to community resources, and involvement in the local, state, and national electoral process to be critical and desirable goals.

PlazAmericas is inviting partners to help organize, promote, and participate in the Community Expo & Voter Registration event. These combined efforts will encourage citizens to register to vote, educate them on how to vote, and encourage greater participation amongst the community and help create
more informed voters. It will also provide an opportunity for potential voters to meet and communicate with candidates and elected officials. This project can serve as a focal point for common discourse and enhance the role of the community as a setting where ideas and issues are openly and vigorously
debated.

We are calling on a variety of organizations and leaders to participate in this project, and we hope that you will join us to make this important event a success.

Event Overview

The Event will provide information, education, resources, and opportunities for community involvement to residents of Southwest and Greater Houston. The Event will also include activities, entertainment, and promotions that will be useful in attracting participants and attendees.

The Event will take place in multiple venues throughout PlazAmericas, and will use the Main Stage and performance area, the Community Room, and other areas throughout the mall for displays.

Elements of the Event are anticipated to include:
1. Cultural Performances . Performances from dance, vocal, and other cultural groups on the main stage and in other locations throughout PlazAmericas.
2. Childrenfs Activities . Games, clown, face]painting, and contests for children. Possible integration of civic education, such as certificates / medals for asking a question of an elected official, etc.
3. Direct Access to Elected Officials
a. Introductions / Short Speeches . Opportunities for elected officials to introduce themselves on the Main Stage.
b. Interviews (Televised / Broadcast) . Interviews with elected officials conducted by local television / radio personalities.
c. Question & Answer Forum . Scheduled times for elected officials to answer questions from residents.
4. Voter Registration . Voter education and registration is a primary goal of the Event.
5. Community Expo Tables . Participating organizations, non]profits, and other community resource providers will have opportunities to provide information about their services.
6. Contact Your Representative . Staffed table with computer, printer, envelopes, and letter templates where residents can find out who represents them and learn how to get in contact.
Staffer will enter name and address into online gWho is my representativeh database and generate i) printed list for resident, and ii) letters with appropriate address and signature blocks, including space to write in comments by hand. Service will be content]neutral and postage will be paid for comments sent during Event.

Non-Partisan Nature of Event

The Event will be non-partisan in nature, with a goal of providing general education about civic processes and access to civic and community involvement without promoting any party or political view.

The Steering Committee will provide input and expertise to help plan a successful event. Steering Committee members are recognized leaders and experts in community affairs, voter registration, marketing, and other relevant disciplines.

Promotional and Marketing Campaign

A promotional and marketing campaign is currently being planned. Assisting with promotion and letting constituents, members, customers, and so forth is a critical role for all Operating Partners. Leveraging existing networks will be the most effective element of spreading the word and attracting participants to the Event.

Anticipated campaign elements include:
. Celebrity and Community Leader appearances and interviews.
. News Media . Press releases to radio, television, and newspapers.
. PlazAmericas Budgeted Media Buys. utilize existing budgeted for this event and request added value in support of our event.
. PSAs - Request Public Service Announcements from Radio and TV
. Email Campaign
. PlazAmericas and Community Partners will contact existing constituents to publicize event.
. Printed materials . Posters, push cards, banners.
. Social Media . PlazAmericas and Community Partners will use Facebook, Twitter, Website, links to event page to publicize event.
. Giveaways - T-shirts, bumper stickers, small posters, pens, pencils, back packs, etc.
. Radio and TV interviews . Appearances on talk shows etc.
. Community Calendars & Blogs . Placement on relevant calendars & blogs.
. Community Outreach - Gathering staff and volunteers to promote event by passing out flyers to our event by attending other events or buying a booth at another event
. Mall Outreach - We will make announcements or push cards at every community meeting and every weekend event we have here.
. Invitations - Politicians and community organizers will be invited.

Event Schedule . September 12, 2010
A detailed Event Schedule will be prepared prior to the Event.
In general, the Event will include a main stage with a schedule of entertaining performances, contests, and games, interspersed with appearances by elected officials and candidates. One or more additional stages or participatory areas will be active as well, with more intimate and interactive activities.
Throughout the day and as a backdrop to scheduled events, participating community organizations and other groups will have tables and display areas throughout the mall. Other venues, such as the Community Room, Conference Room, and a Media Center (for interviews) will also be available.
Pre-Event and Post-Event activities may also be added.

Partnership Opportunities
Community Partners

Community Partners are groups with missions, constituencies, or goals that are compatible with the Event. The primary roles of an Community Partner are to i) help plan and design the Event, and ii) help promote the Event by leveraging existing networks and contacts. If appropriate, Community Partners can also provide entertainment and educational content, will have an opportunity to promote the organization at the Event, and will appear on promotional and marketing materials. Community
Partners are not expected to provide funds or in-kind donations.

Media Partners

Media Partners will help promote the Event and will provide coverage of the Event as appropriate.
Media Partners can assist with identifying potential speakers or celebrity appearances, and will have a presence at the Event and on promotional and marketing materials. These partners are expected to donate free or reduced]rate advertising to help promote the event, and may also provide prizes for raffles and contests.

In-Kind Partners

In-Kind Partners are companies or organizations that will provide appropriate services, prizes for raffles or contests, and other in]kind items that will help with the event. In-Kind Partners will have a presence at the Event and on promotional and marketing materials.

COMMUNITY EXPO & VOTER REGISTRATION EVENT
MEMORANDUM OF UNDERSTANDING

Overview

PlazAmericas is a regional shopping mall in Houston Texas, managed by Grupo Zocalo, an affiliate of Boxer Property Management, on behalf of its owner, Sharpstown Mall Texas LLC (gPlazAmericash).
PlazAmericas and Community Partner (the gPartiesh) are concerned about the level of civic involvement and community participation in Southwest Houston and within Houstonfs under-served and underrepresented populations. Both Parties agree that additional civic education, access to community
resources, and involvement in the local, state, and national electoral process are critical and desirable goals.
Accordingly, PlazAmericas and Community Partner agree to collaborate to conceive, plan, and stage a Community Expo & Voter Registration Event (the gEventh), tentatively scheduled for September 12, 2010, with possible pre]Event and post]Event activities to be determined. The terms and nature of this
collaboration are described in this Memorandum of Understanding (MOU).

Term
The Parties acknowledge that if successful the Event may become an annually recurring event and/or may result in pre]Event or post-Event activities, including related events, drives, ongoing education, voter registration efforts, and so forth. To accommodate such ongoing or recurring activities, this MOU
shall have an initial term of one year, and shall be automatically renewed for successive one year terms if not cancelled by either Party. Either Party may cancel this MOU at any time by providing written notice to the other Party.

PlazAmericas Responsibilities

PlazAmericas will be the lead organization in coordinating the Event, creating and maintaining a schedule and budget, arranging set-up and breakdown, and approving all Event-related materials.

PlazAmericas will identify and enter into MOUs or other agreements with all participating organizations.

Participant Responsibilities
1. Planning . Participant will provide input on determining the event strategy, plan, schedule, and budget based on its experience and experience.
2. Promotion . Community Partner will promote the Event to its constituents, members, and contacts, including flyers, email invitations, social media marketing, web site marketing, and
other common ways of notifying potential attendees as appropriate and consistent with Participantfs normal operations. The Parties agree that this is a critical element of Participantfs involvement and Participant will work with PlazAmericas on the timing and content of such communications.
3. Media Relations . Participant will issue a joint press release regarding its involvement in the Event and will distribute to its media contacts.
4. Day of Event . Participant will provide staff and materials to fulfill its specific role at the Event, as further agreed by the Parties during the Event planning.
5. Additional . Please help us by bringing your tent, booth, exhibit stand, table, table cloth, extension cords and supplies such as pens, tape, scissors etc. We have enough chairs to
distribute two to each table.

Financial Considerations

The Parties acknowledge and agree that:
1. PlazAmericas will bear the direct costs of the Event, including facilities]related costs, marketing and promotions, and other items for which it directly contracts.
2. Participant will bear its own direct costs of its involvement in the Event, including its staff, transportation, marketing or printed materials, and incidentals.
3. Neither Party will be required to provide funds to or on behalf of the other by way of rent, sponsorship, fees, reimbursement, or otherwise except as agreed to in writing.
4. Each Partyfs participation in the Event and as described by this MOU is dependent on the availability of funds, and all or part of either Partyfs participation may be modified or eliminated if such funds are not available or not approved by the Partyfs relevant approval processes.

Rules

The Parties are committed to maintaining the comfort and safety of all visitors to the Event and PlazAmericas, and to maintaining a positive, professional environment. As part of the commitment, Participant agrees to abide by the mall rules, codes of conduct or other rules established by PlazAmericas, including such Event]specific rules as may be created by PlazAmericas. By way of example only, such rules may address issues such as: selling goods or services, distribution of flyers in parking lot or other areas, giveaways, use of nametags, and so forth. Participant agrees to support the
enforcement of the rules by its staff.

Public Relations & Media

Each Party will inform and involve the other in the marketing and public relations activities associates with the Event to the extent reasonably possible. The Parties will collaborate in marketing kick-off events and celebrations, and to place one anotherfs logos on Event]related materials

Contacts

In the event that program or management staff needs to be contacted for routine or emergency needs, the Parties agree that the people in the listed staff roles will be contacted. Either Party may change the contacts in by providing written notice to the other.
